This API Usage Agreement ("Agreement") governs the use of Autopays Application Programming Interface ("API") by all integrators ("Integrator"). By accessing or using the API(s), Integrator agrees to be bound by the terms and conditions of this Agreement.
2. API Usage Responsibilities
2.1 Integrator Responsibilities:
- The Integrator agrees to use the API solely for its intended purpose and in compliance with all applicable laws and regulations.
- The Integrator is responsible for any activities conducted through their API access.
- The Integrator agrees not to misuse, abuse, or disrupt the API or its services.
- The Integrator agrees to keep their client_id and client_secret and any generated access tokens safe and not share them with anyone.
- Keep Autopay updated on the Integrator's Technical Contact Person. Notify partner-support@autopay.io with the subject “API Technical Contact Person” and include what client_id(s) the change applies to.
- The Integrator must bear the total cost of any changes to their systems that result from changes in Autopay APIs.
- Inform Autopay when the need for the API ceases to exist so that API access can be removed.
2.2 Autopays Responsibilities:
- Autopay will provide access to the API in accordance with the terms of this Agreement.
- Autopay will use commercially reasonable efforts to maintain the availability and functionality of the API.
- Notify the Integrator's Technical Contact Person about breaking changes for our non-beta APIs.
3. Technical Contact
- For any technical inquiries, support requests, or notifications regarding changes to the API, the Integrator may contact Autopay Partner Center at partner-support@autopay.io.
4. API Changes
- Beta APIs: APIs marked as beta may change without prior notice.
- Non-Beta APIs: New fields may be introduced without prior notice. Breaking changes will be emailed to the Integrator's Technical Contact Person at least six (6) months prior to release.
5. Miscellaneous
- The Integrator acknowledges and agrees that Autopay shall not be held responsible for any direct, indirect, incidental, special, consequential, or exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data, or other intangible losses as a result of errors, downtime or problems with the Autopay API.
- This Agreement constitutes the entire understanding between Autopay and Integrator regarding the use of the API and supersedes all prior agreements and understandings, whether written or oral.
- Autopay reserves the right to update or modify this Agreement at any time. The Integrator's continued use of the API after any such changes shall constitute the Integrator's consent to such changes.
6. Governing Law
- This Agreement shall be governed by and construed in accordance with the laws of Norway, without regard to its conflicts of law principles.
7. Acceptance
- By accessing or using the API, Integrator acknowledges that they have read, understood, and agree to be bound by the terms and conditions of this Agreement.
